Who can invest?
Any private individual aged 18 or over who is resident in Switzerland can invest. Legal entities based in Switzerland can also invest.
For legal reasons, an identification process is required before you can make your investment.
What do I get for my money when I invest?
After the successful campaign, you become a shareholder and can thus participate in Twiliner’s success. In the case of equity campaigns and if the company has opted for digital shares, you will receive your digital shares in your wallet.
Can I sell my shares again?
You can sell your shares privately at any time if they are digital shares. To do so, you send your shares to the buyer’s wallet. The buyer can then pay you in cash, by bank transfer, TWINT, etc., or directly via the blockchain with a cryptocurrency. Some companies will enable the sale/purchase of shares via a marketplace. How do I pay for my investment?
After registering and having completed our investment process, you can place your investment using various payment methods. There are no payment fees for you.
What rights do I have as a shareholder or convertible lender?
Your rights as a shareholder or convertible lender are governed by the statutory provisions of the Swiss Code of Obligations and the company’s Articles of Association. We also recommend that every company include shares to be issued in a shareholders’ agreement to secure important instruments such as a drag-along (co-sale obligation) or tag-along right (co-sale right). The details are determined by the companies – further information can be found in the provisions of the respective campaign.
What happens after my investment?
If the minimum amount is reached, the funding round has been successful.
After the campaign has been successfully completed, the capital increase takes place for equity campaigns. The shares are issued and – if the company has decided to issue digital shares – transferred to your specified wallet address. If you have subscribed to convertible loans through the campaign, the loans will be converted at a later date in accordance with the individual terms and conditions of the convertible loan.
